Company is an association of persons for performing any business activities with specific purpose. It is considered as an artificial person and is recognized by law with a separate name having a common seal, limited liability and collection of capital by selling transferable shares.

Company Act of Nepal 2063, allows the incorporation of following types of companies. Namely;

  1. Private
  2. Public
  3. Profit Non-distributing
  4. Foreign

 

Companies Act, 2063

 

Companies which are registered under Company Registrar Office (CRO) are as follows:

1. Private Company

Private companies have one or a small number of owners. Private companies can be established by one member and not exceeding 100 members. All the shares of the company are sold among the members of its group but not to the outsiders.

As per the provision of Company Act, 2063 a private company is one which:

  • Restricts its members to sell shares to the outsiders.
  • Limit the number of its members i.e., maximum 100.
  • Prohibits any invitation to the public to subscribe its shares and debentures.

Documents required for the registration of Private Company at the office of the company Registrar:

2. Public Company

A public company can be established with at least 7 members but there is no maximum limit. Public Company needs a certificate of commencement to start its business activities. It needs to issue a prospectus at the time of issuing shares and debentures.

Section 2(C) of the Company Act, 2063 defines the Public Company.

Documents required for the registration of Public Company at the Office of the company Registrar:

3. Profit non-distributing Company

A profit non-distributing company can be established with a minimum of 5 members and after the incorporation it may have any number of its members. This company shall not be entitled to distribute or pay to its members any dividends or any money out of profit earned or savings made for the attainment of any objects. The provision relating to profit non-distributing companies is mentioned under Section 166 and 167 of Company Act,2063.

3. Two copies of Article of Memorandum( Niyamawali).
4. The prior approval of license has to be obtained from any body under the prevailing law prior to the registration of a company carrying on any particular types of business or transaction pursuant to the prevailing law, such approval or license.
5. The certified copy of Nepali citizenship certificate of promoters.

 

4. Foreign Company

Foreign company means any company incorporated outside the state. If Company registered in a foreign country wants to transact in Nepal, that type of company must be registered in Nepal.

Foreign companies cannot establish a branch office or liaison office in Nepal without being registered in the CRO of Nepal. Those types of foreign companies cannot issue dividends or shares without being registered in Nepal.

4. A copy of the agreement made among the founder members before the establishment of the company.
5. Certified copies of the citizenship certificates of the founder shareholders.
6. A copy of the permit received from the concerned body to invest within Nepal according to prevailing laws.
7. In case of Industrial Company with joint investment, a copy of the joint-investment agreement issued and registered by the department of industries.
8. If the promoter is a foreign person, a document proving his country and a certified copy of passport and citizenship.
9. If the promoter is a foreign person, or company, or body, a certified copy of the incorporation of such a company or body and major documents relating to such incorporation.

 

Procedure for registering a company under Company Registrar Office.

Steps Procedure
First Submission of an application along with the prescribed documents.
Second After the submission of an application, the OCR shall make necessary inquiries and register such a company within 15 days.
Third Company shall be considered incorporated after it has been registered.
Fourth The OCR shall provide a company Register certificate in the format as prescribed.

तपसिल

१. प्रबन्धपत्र तथा नियमावली प्रत्येकको दुई/ दुई प्रति,

२. संस्थापकहरु नेपाली नागरिक भएमा संस्थापकहरुको नागरिकताको प्रमाणपत्रको प्रतिलिपि,

३. पब्लिक लिमिटेड कम्पनीको हकमा संस्थापना अघि संस्थापकहरुबीच कुनै सम्झौता भएको भए सोको प्रतिलिपि,

४. प्राइभेट लिमिटेड कम्पनीको हकमा संस्थापकहरुवीच कुनै सर्वसम्मत सम्झौता भएको भए सोको प्रतिलिपि,

५. कम्पनी संस्थापना गर्नेबारे सम्बन्धित निकायको पूर्व स्वीकृति वा इजाजतपत्र (कुनै निकायको पूर्व स्वीकृति वा इजाजतपत्र चाहिने भएमा मात्र)

६. संस्थापक संगठित संस्था भए,–

(क) संस्था दर्ता प्रमाणपत्र,

(ख) कम्पनी संस्थापना बारे सञ्चालक समितिको निर्णय,

(ग) संस्थापना वा दर्ताको प्रमाणपत्र तथा संस्थापना सम्बन्धी प्रमुख लिखतहरु ,

(घ) संस्थापकको रुपमा संगठित संस्थाको प्रतिनिधित्व गर्ने व्यक्तिको नियुक्ति सम्बन्धी लिखत ।

७. विदेशी लगानी हुने भए,–

(क) विदेशी लगानीबारे सम्बन्धित निकायको अनुमति पत्र,

(ख) संस्थापक विदेशी व्यक्ति भए निज कुन मुलुकको नागरिक हो सो खुल्ने प्रमाण वा राहदानीको

(ग) संस्थापक विदेशी संगठित संस्था भए संस्थापनाको प्रमाणपत्रको प्रतिलिपि तथा संस्थापना सम्बन्धी प्रमुख लिखतहरु (जस्तै – प्रबन्धपत्र, नियमावली वा विधान )
